This was Zuckerberg making a deal with himself with an extra step to make it legal.

Zuckerberg controls approximately 60.6% of Meta’s voting power through Class B super-voting shares (10 votes per share). Controlling shareholders can’t act without the board. Zuckerberg selects the board.
